INVESTMENT MANAGEMENT - FEE STRUCTURE

Investment Management - billed on a percentage of assets basis with a minimum quarterly fee of $250:

Discretionary Managed Assets of $0 to $1,000,000 (1.00% per annum)

Discretionary Managed Assets of $1,000,001 to $5,000,000 (0.50% per annum)

Discretionary Managed Assets of $5,000,000 to $10,000,000 (0.25% per annum)

Discretionary Managed Assets of $10,000,000+ (0.10% per annum)

Your advisor will provide you with investment management services which will encompass the following:

1. the creation of an Investment Policy Statement customized to the specific goals, preferences and constraints of Client;
2. the execution of purchases, sales and reinvestments of Client assets in accordance with the Investment Policy Statement, the timing and amounts of which will be at the discretion of Advisor;
3. the delivery of a quarterly statement which will present the portfolio holdings of Client and the performance of the portfolio on a time-weighted basis in accordance with the performance presentation standards of the CFA Institute; and
4. an annual review of the Investment Policy Statement to ensure that it continues to be appropriate for Client and to make any necessary adjustments.
